MGW is a node in the R4 architecture to handle the bearer (VOICE). The MSC is still the controller and is responsible for handling the call related signaling. MSC and the MGW communicate using H.248 (or any other) protocol.

When required, MSC will request the MGW to allocate/deallocate resources for the call. From there on, all bearer related handling will be done at the MGW.

In Short media gateways are most used term in NGN (Next generation network) where we use all type of communication multimedia as well it is basically made for multimedia application.

This approach frees the MSC from the burden of handling/managing bearer.

The voice gateway(MGW) act as an interface & helps connects a telephony/wireless core network to the PSTN or to other operator's network. MGW Convert IP telephony packets into analog or digital signals. Typically in case of softswitch (MSC)/call manager talk to MGW using MGCP protocol to sent control information between MSC & MGW. Media gateway holds lower layers of SS7 (MTP2,M2UA).

Media Gateway is for VOICE. MSC is for signalling like SS7 or SIP Signalling or Call Processing or Billing or Platform and Maintenance. In the Softswitch or next Generation switches MSC and Media Gateway are Sepeareted so they both can communicate using Megaco or properitery messaging protocol.
